The product is software. It is not a safeguarding service, emergency response service, or a substitute for any duty of care.
These terms describe the boundaries that apply when you use the Whispr EDU product. They are written in our favour to keep the service operable and lawful. They do not create entitlements beyond what is set out in the signed commercial documents and what mandatory law requires.

The customer organisation remains responsible for lawful use, policy decisions, staff conduct, and any response to a report.
We may change features, suspend access for misuse, and terminate at our sole discretion in line with the signed agreement.
The Whispr EDU product is one of multiple distinct product lines operated under the BackPR umbrella (backpr.com). Each Whispr product is built, run, and supported by a separate product team with separate roadmaps, contracts, and operating practice. The Whispr Compliance Italy product available at whispr.backpr.com is a sibling product with its own terms. Communications, demonstrations, prior dealings, pricing, or representations made in connection with another BackPR product are not binding on Whispr EDU or its team. References to "Whispr", "we", "us", or "our team" in these terms apply only to the Whispr EDU product unless explicitly stated.
The Whispr EDU product provides hosted reporter intake, administrative case-handling, role-based access, audit-related visibility, and supporting workflow tools. It is software. The product is not, and is not sold or held out as: an emergency-response service, a 911/112/999 substitute, a safeguarding service, a clinical or mental-health service, a moderation service, a legal-compliance service, a law-enforcement reporting channel, an investigation provider, a youth-mentoring service, or a children's-protection authority. Use of the product does not create any duty of care on the part of Whispr towards the customer's reporters, students, or community.
The customer is solely responsible for: (i) lawful use of the product in its jurisdiction; (ii) determining that the product is suitable for its setting, age group, and any vulnerable-person population it serves; (iii) appointing and supervising staff who handle reports; (iv) communication with reporters, parents, guardians, and authorities; (v) maintaining an emergency-response path that is separate from this product; (vi) deciding response, escalation, and any reporting required by law or by its own internal policy; (vii) any consent it must obtain under children's-data or student-data law; (viii) safeguarding follow-up, including in cases involving disclosure of harm, self-harm, abuse, or threats; and (ix) configuration of roles, retention rules, and access boundaries within the product. Whispr does not moderate, validate, investigate, prioritise, or triage reports.
The Acceptable Use Policy applies to all use of the product and is incorporated into these terms by reference. Violation entitles us to suspend or terminate access without prior notice, refund, credit, or any transition period.
The product is provided "as is" and "as available". To the maximum extent permitted by law, Whispr disclaims all warranties, conditions, and representations, express or implied, including without limitation any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, security, reliability, availability, suitability for a specific age group, suitability for a specific sector, freedom from interruption, freedom from error, or compliance with any specific law or guideline. No advice or information, whether oral or written, obtained from Whispr or anywhere on this site creates any warranty not expressly stated in the signed commercial agreement.
To the maximum extent permitted by law: (a) Whispr's aggregate liability arising out of or in connection with the product, these terms, the website, and any related communications shall not exceed the lesser of (i) the fees actually paid by the customer to Whispr in the twelve months immediately preceding the event giving rise to the claim, or (ii) one hundred euros (EUR 100); (b) in no event will Whispr be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, loss of profits, loss of revenue, loss of data, loss of goodwill, loss of opportunity, loss of business, loss of anticipated savings, harm to reputation, third-party claims, regulatory fines, or any safeguarding or duty-of-care related loss, even if advised of the possibility of such damages and even if a stated remedy fails of its essential purpose; (c) any claim must be brought within six (6) months of the event giving rise to the claim, after which it is permanently barred; and (d) the customer's exclusive remedy for any dissatisfaction with the product is to stop using it.
The customer shall defend, indemnify, and hold harmless Whispr, the Whispr EDU team, BackPR, and their respective affiliates, officers, employees, contractors, and agents from and against any third-party claim, regulatory action, fine, loss, cost, damage, or expense (including reasonable legal fees) arising out of or in connection with (a) the customer's use, configuration, or rollout of the product, (b) any breach of these terms or the acceptable-use policy by the customer or by anyone using the customer's account, (c) the customer's processing of personal data, (d) any safeguarding-related event or its handling, (e) any communication the customer makes to reporters, parents, staff, regulators, or media, and (f) the customer's compliance or non-compliance with applicable law.
Whispr may modify, deprecate, suspend, or discontinue any feature, integration, sub-processor, or capability of the product at any time. We may update these terms at any time by publishing a new version at this URL; continued use of the product after publication constitutes acceptance. We may suspend or terminate access for breach, suspected misuse, non-payment, legal risk, or any reason permitted in the signed agreement. Termination does not entitle the customer to a pro-rated refund, credit, or transition period unless the signed agreement says otherwise.
Each party agrees to protect the other's confidential information using at least reasonable care. Any feedback, suggestion, or improvement idea the customer provides may be used by Whispr without obligation, attribution, payment, or restriction.
These terms are governed by Italian law, without regard to its conflict-of-laws principles. Exclusive jurisdiction is the competent ordinary court at the registered office of the operator. The applicability of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. The signed commercial agreement may specify a different forum, in which case that document controls in favour of whichever forum is more favourable to the operator.
